Terms of Service
These Terms of Service ("Terms") are a legal agreement between you ("you") and PropLock AI ("PropLock," "we," "us"). By creating an account, accessing the Service, or clicking "Start free trial," you agree to these Terms. If you do not agree, do not use the Service.
1. What PropLock is — and isn't
PropLock provides a software platform for traders to journal trades, evaluate setups against user-defined rules (the "Smart Gate"), sync read-only fills from connected broker accounts, and review performance over time.
PropLock is NOT:
- A broker, dealer, or money transmitter. We do not execute orders, route trades, or hold customer funds.
- An investment adviser. Smart Gate decisions, scoring, suggestions, and analytics are informational only — they are not personalized investment advice.
- A financial institution, custodian, or fiduciary.
- A guarantee of trading profitability, account survival, or risk-rule compliance at your broker or prop firm.
Trading futures and other leveraged products involves substantial risk and is not suitable for every investor. You may lose more than your initial investment. See our Trading Disclaimer for full details.
2. Eligibility
You must be at least 18 years old and legally able to enter contracts in your jurisdiction. You must provide accurate registration information and keep it current. You are responsible for all activity under your account, including access by anyone you authorize.
3. Your account & security
- You must keep your password confidential and notify us immediately of unauthorized access.
- You authorize PropLock to connect read-only to broker or prop-firm accounts you link, using credentials or API keys you provide. You represent that you are authorized to grant this access.
- PropLock never places, modifies, or cancels orders at your broker. Integrations are read-only sync.
- You can disconnect any integration or delete your account from the Settings page at any time.
4. Subscriptions, trials & billing
4.1 Free trial
New users receive a 14-day free trial of Pro. We collect a payment method at signup but do not charge until day 15. Cancel before then and you pay nothing. Trials are limited to one per person and may not be combined with other offers.
4.2 Recurring billing
After the trial, your subscription renews automatically at the price you selected ($29 USD per month or $290 USD per year). Stripe processes all payments. By subscribing, you authorize recurring charges to your chosen payment method until you cancel.
4.3 Price changes
We may change prices on renewal with at least 14 days' notice via email or in-app. If you don't agree, cancel before the next renewal.
4.4 Cancellation
Cancel anytime via the Stripe Customer Portal (Manage billing). Cancellations take effect at the end of the current paid period — you keep access until then. We do not provide pro-rata refunds for partial periods.
4.5 Refunds
Charges are non-refundable except where required by law. If you believe you were charged in error, email support@proplockai.com within 14 days and we will review the request in good faith.
5. Acceptable use
You agree not to:
- Use the Service to violate any law, rule, or third-party right (including your broker's or prop firm's terms).
- Reverse engineer, scrape, or attempt to extract source code or training data.
- Resell, sublicense, or white-label the Service without our written permission.
- Upload malware, attempt to bypass authentication, or interfere with other users.
- Use the Service to provide regulated investment advice to third parties.
- Connect broker credentials you are not authorized to use.
We may suspend or terminate accounts that violate these rules.
6. Your content
You retain ownership of the data you submit — trade journal entries, screenshots, notes, playbooks, and rules (collectively, "Your Content"). You grant PropLock a limited license to host, process, display, and back up Your Content solely to operate the Service for you. We do not sell Your Content. See the Privacy Policy for details.
7. Our content & intellectual property
The Service, including the Smart Gate logic, analytics, design, and source code, is owned by PropLock and licensed to you on a non-exclusive, non-transferable, revocable basis solely for your personal use of the subscription. All trademarks, logos, and brand elements are property of PropLock or their respective owners.
8. Third-party services
The Service connects to third parties including Stripe (billing), Neon (database), broker / prop-firm APIs (TopstepX, Tradovate, etc.), and notification providers. Your use of those services is governed by their own terms. We are not responsible for outages, data loss, or decisions made by third-party services.
9. Disclaimer of warranties
The Service is provided "as is" and "as available." To the maximum extent permitted by law, PropLock disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. We do not warrant that the Service will be error-free, secure, or result in any specific trading outcome.
10. Limitation of liability
To the maximum extent permitted by law, PropLock, its officers, employees, and affiliates shall not be liable for:
- Trading losses, missed profits, blown funded accounts, broker fees, or prop-firm rule violations.
- Indirect, incidental, special, consequential, or punitive damages.
- Loss of data, goodwill, business opportunity, or profits.
- Any decision you or anyone else made in reliance on the Service.
Our aggregate liability for any claim arising out of or relating to the Service is limited to the amount you paid PropLock in the twelve (12) months immediately preceding the event giving rise to the claim, or USD $100, whichever is greater.
11. Indemnification
You agree to indemnify and hold harmless PropLock from any claims, damages, costs, or liabilities (including reasonable attorneys' fees) arising out of (a) your use of the Service, (b) Your Content, (c) your violation of these Terms, or (d) your violation of any third-party right, including your broker's or prop firm's rules.
12. Term & termination
These Terms remain in effect while you have an account. You may delete your account at any time. We may suspend or terminate your account for breach of these Terms, prolonged inactivity, or as required by law. Sections that by their nature should survive termination (e.g., ownership, disclaimers, limitations of liability, indemnification, dispute resolution) will survive.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced via email or in-app at least 14 days before they take effect. Continued use after the effective date means you accept the updated Terms.
14. Governing law & disputes
These Terms are governed by the laws of the State of Illinois, USA, without regard to conflict-of-law principles. Any dispute will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, in Cook County, Illinois, or by telephone or video. You and PropLock waive any right to a jury trial or to participate in a class action. Either party may seek injunctive relief in court for intellectual-property misuse.
15. Miscellaneous
- Entire agreement. These Terms, the Privacy Policy, and the Trading Disclaimer are the entire agreement between you and PropLock.
- Severability. If any provision is unenforceable, the rest stays in effect.
- No waiver. Our failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms; we may assign in connection with a merger, acquisition, or asset sale.
